Background

Acquisition by the Canadian undertaking KKR of the whole Bosch Telekom Private Network (BTPN). KKR is an investment fund group specialised in equity investments. Its portfolio comprises investments, inter alia, in the retail and banking systems business, recreation resources, food retailing and assurance companies. Most of the investments are companies in the UK. BTPN comprises the private networks activities of the telecom equipment business of Robert Bosch.

Assessment

The Commission cleared the operation. Neither KKR nor any other company owned or controlled by it is active in the market of private telecoms systems. Therefore, in the Commission's view, the proposed operation would not lead to any addition of market shares or vertical relations within the EEA. The vertical aspects concerned the telephone switchboards purchases (electronic connectors) from Amphenol, a KKR portfolio company. However, the market shares involved are low and, therefore, the operation raises no competition concerns. The Commission therefore cleared the operation. (Case n° COMP/M. 1840, Decision of 29/02/00).
