Requirements for PRC-based companies to be listed on GEM

CSRC has issued a direction for companies established in the PRC (PRC entity) to be listed on The Growth Enterprise Market of The Stock Exchange of Hong Kong Limited (GEM).

The PRC entity needs to submit various documents to CSRC and obtain its approval before it can apply for listing on GEM.

The pre-conditions for the PRC entity to be listed on the GEM can be summarised as follows:

1. the PRC entity must be legally and validly established in accordance with the PRC laws and regulations;

2. the PRC entity and its promoter must have complied with PRC laws and regulation and not have committed any material violation of laws within the last two years;

3. the PRC entity must have complied with all the requirements of the GEM listing rules;

4. the Sponsor must be satisfied with the listing status of the PRC entity and willing to take sponsorship responsibility according to applicable regulations;

5. State-approved high technology enterprises will obtain preferential approval.
